At DartSolar, we’re building the next generation of solar-powered infrastructure for electric vehicles—starting with our modular, expandable solar roof racks. Designed for EV owners who need energy on the go, DartSolar is combining clean energy, sleek design, and everyday practicality into one powerful solution.

We are currently offering early investors the opportunity to support our mission through a Simple Agreement for Future Equity (SAFE Note). This is a flexible, founder-friendly investment structure originally designed by Y Combinator that allows you to invest now and convert your investment into equity during a future priced round. Standard Terms

In order to maintain an equal note for all investors, and in the spirit of full transparency, below we list the terms we have used for past investors, and the terms we plan to use for all future investors in this round of financing:

  • Note type: SAFE Note (Post-money)

  • Validation Cap: Uncapped

  • Discount: 20% — past investors have received a higher discount, and future investors will receive a lower discount. At the present time, this is the discount we offer

  • Conversion Trigger: SAFE converts into equity during the next priced equity financing round.

  • No Interest / No Maturity Date: Unlike a loan, there’s no interest and no deadline for repayment.

  • MFN (Most Favored Nation): After a SAFE Note purchase, if we offer better terms to future investors, you can opt to switch your terms to the better future terms.

Investor Qualifications

All DartSolar investors must meet any one of the requirements below. Before investing, DartSolar will request proof of funds or documentation to ensure all investors are Accredited Investors:

  • Income Test: Annual income over $200,000 (or $300,000 with a spouse/partner) in each of the past two years. Reasonable expectation of the same income this year

  • Net Worth Test: Net worth (alone or with spouse/partner) over $1 million, excluding the value of their primary residence

  • Professional Certification: Hold a Series 7, 65, or 82 FINRA license

  • Entity Investor: A trust, LLC, or fund with over $5 million in assets
